These Terms of Use (“Terms”) govern your use of https://www.mindshiftjourney.com (the “Site”), operated by Wray Consulting Group Inc., a corporation incorporated in British Columbia, Canada, operating as MINDSHIFT (“MINDSHIFT,” “we,” “us,” or “our”), with its registered office at 5363 Westhaven Wynd, West Vancouver, BC, Canada V7W 3E8. By using the Site, registering for a webinar or event, or submitting a form on the Site, you agree to these Terms. If you do not agree, please do not use the Site.

These Terms govern the Site and our free events and content only. Enrollment and participation in our paid programs are governed by the applicable Enrollment Agreement and Program Terms & Conditions, which prevail over these Terms for those programs.

1. Intellectual Property

The Site and all its content — including text, graphics, logos, videos, webinar content and replays, downloadable resources, the MINDSHIFT name and brand, the MINDSHIFT coaching model, the 5-Phase Roadmap for Change, and related materials — are owned by MINDSHIFT or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive license to view the Site and its content for your personal, non-commercial evaluation of our programs and services. You may not reproduce, distribute, modify, publicly display, or create derivative works from Site content, and you may not use MINDSHIFT’s methods, tools, or materials to train or educate others, without our prior written permission.

2. Webinars and Free Events

When you register for a free webinar or event, you agree to provide accurate registration information. Webinars are provided for general educational purposes; we may record webinars, and by attending with your camera, microphone, or chat enabled you consent to your contributions appearing in the recording and replay. If you prefer not to appear, keep your camera and microphone off and use private chat, or contact us. We may reschedule or cancel free events at any time. Registration details are handled in accordance with our Privacy Policy.

3. Program Applications, Offers, and Discounts

Submitting an application for a MINDSHIFT program is not an offer of, or entitlement to, admission. You confirm that the information you submit is accurate and complete. Admission decisions are at our discretion, and enrollment occurs only when an Enrollment Agreement is signed.

Promotional offers, discounts, and referral benefits described on the Site — including any group or early-enrollment discount — are subject to their published terms and to the applicable Enrollment Agreement, and may be amended or withdrawn at any time for future enrollments. Amendments do not affect the terms of an Enrollment Agreement you have already signed.

4. Your Submissions

If you send us comments, questions, testimonials, or other content through the Site or our events, you grant us a non-exclusive, royalty-free license to use that content to respond to you, operate and improve our services, and — where you have given consent or the content was provided for that purpose — in our marketing. Do not submit content that is unlawful, defamatory, or infringes anyone’s rights. If a testimonial or appearance by you is used in our materials and you would like it updated or removed — or if you are the representative or family member of a featured person who is deceased or cannot be reached — contact us at adam@wraygroup.com and we will address the request promptly.

5. Acceptable Use

You agree not to use the Site for any unlawful purpose; to interfere with the Site’s operation or security; to scrape, data-mine, or harvest information from the Site; to impersonate any person; or to upload malicious code.

6. No Professional Advice; No Coaching Relationship

Site content, webinars, and free resources are provided for general informational and educational purposes only. They are not legal, medical, financial, or psychological advice, and do not create a coaching, therapeutic, fiduciary, or professional relationship between you and MINDSHIFT or Alex Wray. Results described on the Site or in webinars — including case studies and testimonials — reflect the experiences of specific individuals and are not a promise or guarantee of your results.

7. Third-Party Links and Services

The Site may link to, or use, third-party platforms (for example, LinkedIn, Zoom, or our scheduling and payment providers). We are not responsible for third-party sites or services, which are governed by their own terms and privacy policies.

8. Disclaimer and Limitation of Liability

The Site and all free content are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, MINDSHIFT is not liable for any damages arising from your use of the Site or free content, and our total liability relating to the Site is limited to US $100. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded, and nothing limits any non-waivable right you have under applicable law.

9. Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy, available at mindshiftjourney.com/privacy-policy.

10. Changes

We may update these Terms from time to time. The effective date above will be revised when we do, and continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia. Disputes relating to the Site shall be brought before the courts of British Columbia or, where the amount in issue qualifies, a small claims court or civil resolution tribunal of competent jurisdiction — provided that nothing in this Section prevents you from bringing a claim in your local courts where applicable law gives you that non-waivable right.
